DIEM Provider Capacity Program — Terms of Service

1. About These Terms
These DIEM Provider Capacity Program Terms ("DIEM Terms") govern access to and use of the DIEM provider-capacity program available through diem.antseed.com or any related interface, smart contract, documentation, or program page that references these DIEM Terms (the "Program"). The Program is separate from the general AntSeed Protocol Terms of Service. The AntSeed Protocol is open-source, peer-to-peer infrastructure. The Program is a specific capacity-participation program connected to provider infrastructure that may operate on or through the AntSeed Protocol. By accessing the Program, connecting a wallet, locking, staking, depositing, delegating, or otherwise using DIEM in connection with the Program, claiming USDC allocations, claiming token incentives, or interacting with related smart contracts, you confirm that you have read, understood, and agree to these DIEM Terms. If you do not agree, do not use the Program.
2. Nature of the Program
The Program allows eligible participants to lock or stake DIEM so that such DIEM may be used as provider capacity, collateral, participation weight, or other capacity-support mechanism for one or more provider nodes or provider infrastructure connected to the AntSeed Protocol. If the relevant provider infrastructure processes paid requests and receives USDC through protocol settlement, eligible participants may receive USDC allocations according to the applicable smart-contract logic and Program parameters, after operator fees, costs, deductions, reserves, or other applicable rules. USDC allocations are not guaranteed. They depend on actual paid usage of the relevant provider infrastructure, network demand, buyer behavior, pricing, competition, uptime, operator performance, upstream services, infrastructure costs, smart-contract functionality, legal restrictions, and other factors. USDC allocations may be zero. The Program is experimental. It may be modified, paused, limited, migrated, replaced, or discontinued for technical, legal, regulatory, security, economic, commercial, operational, governance, or other reasons.
3. Capacity Participation — Not a Deposit Account or Guaranteed Yield Product
By participating in the Program, you are not opening a bank account, deposit account, brokerage account, investment account, savings account, money-market account, managed account, or custodial account. DIEM locking or staking does not create a debt claim, repayment claim, fixed-income product, guaranteed-return product, insurance product, collective investment fund interest, equity interest, partnership interest, or right to any guaranteed income. The Program should not be described or understood as "passive income," "guaranteed yield," "fixed APY," "risk-free yield," "interest," or a guaranteed investment return. Any historical rate, APY-like display, projected metric, or estimated distribution is informational only, based on assumptions or past activity, and is not a promise, forecast, target, or guarantee. You should not participate in the Program based on any expectation of profit, fixed return, APY, price appreciation, liquidity, token burn, token support, or continued operation of the Program.
4. Provider Operator
One or more provider operators (each, a "Provider Operator") may operate, maintain, configure, and monitor provider infrastructure connected to the Program. A Provider Operator may run nodes, manage upstream infrastructure, process valid protocol requests, maintain service availability, manage pricing or routing parameters, pay infrastructure or upstream costs, settle payments through smart contracts, and perform related technical and operational functions. The Provider Operator is a technical infrastructure operator. Unless expressly stated in separate written terms, the Provider Operator does not act as investment manager, fund manager, broker, dealer, exchange, clearing agency, investment adviser, fiduciary, trustee, custodian, agent, representative, or financial adviser to DIEM participants. The Provider Operator does not guarantee that the provider infrastructure will generate any revenue, continue operating, maintain any uptime, process any minimum volume, distribute any minimum USDC amount, maintain DIEM value, maintain liquidity, or support any token price. The Provider Operator may suspend, limit, modify, migrate, or discontinue operation of the relevant provider infrastructure for technical, legal, regulatory, security, economic, commercial, operational, governance, or other reasons. If operation stops or is restricted, USDC allocations may stop entirely.
5. Operator Fees and Costs
A Provider Operator may receive an operator fee from gross USDC revenue generated by the relevant provider infrastructure before any remaining USDC is allocated according to the Program rules. The operator fee compensates the Provider Operator for technical operation, infrastructure costs, upstream service costs, monitoring, maintenance, security, support, transaction costs, administrative costs, and operational risk. The operator fee is not intended as an investment advisory fee, fund-management fee, performance fee, carried interest, dividend, profit share, or fiduciary compensation paid by participants to an investment manager. It is compensation for technical and operational services connected to provider infrastructure. The operator fee rate, deduction method, fee recipient, and distribution logic may be determined by smart-contract parameters, published Program parameters, multisig settings, governance input, operator settings, or other disclosed mechanisms. Fee rates and Program parameters may change, subject to applicable law and any notice, time-lock, governance, or contract mechanism then in effect. Participants are responsible for reviewing current fee rates, deductions, contract addresses, and Program parameters before participating. Continued participation after parameter changes may be treated as acceptance of the updated parameters.
6. USDC Allocations
USDC allocations, if any, are derived from actual payments made by Buyers for AI services processed by the relevant provider infrastructure and settled through the applicable protocol or smart-contract mechanisms. Allocations may be calculated by reference to DIEM locked, stake weight, time, contract state, Program rules, operator settings, fees, costs, reserves, caps, cooldowns, claims, penalties, slashing, or other parameters. The exact mechanics are determined by the applicable smart contracts and published Program parameters. USDC allocations may be delayed, reduced, unavailable, or zero due to low demand, failed requests, provider downtime, upstream service failure, smart-contract bugs, contract pauses, insufficient liquidity, chain congestion, settlement failure, buyer disputes, operator suspension, sanctions restrictions, legal restrictions, or other reasons. No person or entity guarantees any USDC allocation, APY, revenue, yield, return, distribution, claim, or payment.
7. DIEM Token Risk
DIEM is a cryptographic token and may be volatile, illiquid, experimental, and risky. The value of DIEM may decrease significantly or go to zero. There may be no market for DIEM, insufficient liquidity to sell DIEM, wide spreads, failed transactions, exchange delistings, or transfer restrictions. Locking or staking DIEM may involve cooldowns, withdrawal delays, contract restrictions, slashing, penalties, caps, emergency pauses, migration risk, or other limitations. You may be unable to withdraw or sell DIEM when desired. DIEM may be treated differently by regulators in different jurisdictions. Your acquisition, holding, staking, locking, transfer, sale, or other use of DIEM may be restricted or prohibited in your jurisdiction. You are solely responsible for determining the legal, tax, regulatory, and financial consequences of participation.
8. Smart Contract, Blockchain, and Stablecoin Risk
The Program may rely on smart contracts deployed on Base or other blockchains, USDC or other stablecoins, wallets, RPC providers, sequencers, bridges, block explorers, decentralized exchanges, or other third-party infrastructure. Smart contracts may contain bugs, vulnerabilities, design errors, upgrade risks, access-control risks, oracle risks, accounting errors, or other flaws. Exploits or failures may result in partial or total loss of DIEM, USDC, claims, rewards, or other assets. Blockchain transactions are irreversible. No person or entity can guarantee recovery of funds lost due to exploits, mistaken transactions, wallet compromise, phishing, chain failure, stablecoin depeg, stablecoin freeze, bridge failure, sequencer downtime, RPC failure, or other events. USDC is issued by a third party and may be subject to freezes, blacklisting, regulatory action, redemption risk, depeg risk, issuer risk, and network-specific risks.
9. Eligibility, Sanctions, and Jurisdiction Restrictions
You must be at least 18 years old, or the age of legal majority in your jurisdiction, whichever is greater, to participate in the Program. You represent and warrant that:
- you are not subject to sanctions administered by OFAC, the United Nations, the European Union, the United Kingdom, or any other applicable sanctions authority;
- you are not located, organized, or resident in a comprehensively sanctioned jurisdiction;
- your participation complies with all applicable laws, including sanctions, export controls, AML/CFT, tax, data protection, consumer protection, securities, commodities, financial-services, AI, and intellectual-property laws;
- you are not participating on behalf of a prohibited person or jurisdiction;
- you are not using the Program for money laundering, sanctions evasion, fraud, market manipulation, or other unlawful conduct.
Access to the Program may be restricted by jurisdiction, user category, KYC/AML status, accreditation/professional status, sanctions status, transaction size, or other eligibility criteria. A Program interface or operator may block, restrict, or terminate access where required or appropriate.
10. No Financial, Investment, Legal, or Tax Advice
No information on diem.antseed.com, in these DIEM Terms, in the AntSeed documentation, in community channels, or in any related communication is financial, investment, legal, tax, accounting, trading, or regulatory advice. You should consult qualified advisers before acquiring DIEM, locking DIEM, staking DIEM, claiming USDC, participating in the Program, or making any related decision.
11. No Ownership, Revenue Right, or Entity Claim
Participation in the Program does not give you ownership of the AntSeed Protocol, any Provider Operator, any Ecosystem Support Entity, any provider node, any infrastructure, any reserve, any treasury, any smart contract, any business, or any legal entity. Unless separate written terms expressly state otherwise, participation does not confer equity, shares, stock, membership interests, partnership interests, voting rights in an entity, dividends, revenue rights, profit rights, repayment rights, redemption rights, liquidation rights, claims on assets, claims on protocol fees, claims on reserves, or rights to direct management or operations. Any governance or voting connected to DIEM, ANTS, or the Program is subject to the applicable governance framework and does not by itself create entity ownership, fiduciary duties, partnership status, management authority, or agency authority.
12. No Fiduciary, Advisory, Custody, or Management Relationship
Participation in the Program does not create a fiduciary, advisory, brokerage, fund-management, trustee, custody, agency, partnership, joint-venture, employment, franchise, or representative relationship between you and any Provider Operator, AntSeed Protocol, Ecosystem Support Entity, contributor, maintainer, multisig signer, committee member, or other participant. No Provider Operator or Ecosystem Support Entity manages assets on your behalf or owes you duties to maximize revenue, maintain APY, maintain DIEM value, support token price, conduct buybacks, operate indefinitely, maintain liquidity, or continue the Program. No participant is authorized to bind any other participant, the AntSeed Protocol, any Provider Operator, any Ecosystem Support Entity, any reserve, or the Program.
13. Privacy and Data
Program interfaces may collect wallet addresses, transaction data, analytics, telemetry, device information, crash reports, or other technical data as described in applicable privacy notices. Blockchain activity is public, permanent, and linkable. Wallet addresses, DIEM balances, locked amounts, claims, USDC allocations, token transfers, approvals, and other on-chain actions may be visible to anyone. Do not assume wallet activity is private. You are responsible for your own wallet security, privacy practices, tax records, and compliance obligations.
14. Taxes
You are solely responsible for all taxes, reporting, filings, withholding, and recordkeeping arising from acquiring DIEM, locking DIEM, staking DIEM, claiming USDC, receiving token incentives, transferring tokens, selling tokens, or otherwise participating in the Program. USDC allocations, token incentives, token sales, token swaps, and other activity may have tax consequences. No person or entity is responsible for determining, withholding, reporting, or paying your taxes unless expressly required by applicable law.
15. Prohibited Conduct
You agree not to use the Program to violate law; evade sanctions; launder money; finance terrorism; commit fraud; manipulate markets, metrics, claims, rewards, fees, governance, or contract state; exploit smart contracts; attack infrastructure; misrepresent eligibility; impersonate others; evade access restrictions; or obtain unauthorized access to systems, keys, wallets, nodes, APIs, data, or accounts.
16. Disclaimers of Warranty
THE PROGRAM, DIEM, USDC ALLOCATIONS, PROVIDER INFRASTRUCTURE, SMART CONTRACTS, INTERFACES, DOCUMENTATION, OPERATOR SERVICES, PROGRAM PARAMETERS, HISTORICAL METRICS, AND ALL RELATED MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ANTSEED, PROVIDER OPERATORS, ECOSYSTEM SUPPORT ENTITIES, CONTRIBUTORS, MAINTAINERS, GRANT RECIPIENTS, MULTISIG SIGNERS, COMMITTEE MEMBERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, SECURITY, ACCURACY, AVAILABILITY, UPTIME, LEGALITY, COMPLIANCE, AND ERROR-FREE OPERATION. No person or entity warrants that the Program will be secure, uninterrupted, available, profitable, lawful in your jurisdiction, or error-free; that any smart contract is free of vulnerabilities; that any Provider Operator will continue operating; that any USDC allocation, APY, yield, revenue, claim, reward, or return will occur; or that DIEM will have value, liquidity, utility, market access, or future functionality.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ANTSEED, PROVIDER OPERATORS, ECOSYSTEM SUPPORT ENTITIES, CONTRIBUTORS, MAINTAINERS, GRANT RECIPIENTS, MULTISIG SIGNERS, COMMITTEE MEMBERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR SIMILAR DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, DIEM, USDC, TOKENS, DIGITAL ASSETS, EXPECTED ALLOCATIONS, EXPECTED REWARDS, EXPECTED VALUE, OR BUSINESS OPPORTUNITY. This limitation applies to damages arising from or relating to Program use; inability to use the Program; smart-contract bugs, exploits, hacks, or failures; provider downtime; operator action or inaction; low demand; failed settlement; wallet compromise; mistaken transactions; token price changes; illiquidity; delistings; stablecoin failure; regulatory, tax, legal, sanctions, or compliance actions; and actions or omissions of third parties.
18. Indemnification
You agree to indemnify, defend, and hold harmless AntSeed, Provider Operators, Ecosystem Support Entities, contributors, maintainers, grant recipients, multisig signers, committee members, officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, penalties, fines, costs, and expenses, including reasonable legal fees, arising from or relating to your Program participation, violation of these DIEM Terms, violation of law or third-party rights, wallet activity, tax obligations, sanctions status, misrepresentation, prohibited conduct, or smart-contract activity.
19. Changes to These DIEM Terms and Program Parameters
The Program, DIEM Terms, operator fees, Program parameters, eligibility rules, interface availability, contract addresses, claim mechanics, cooldowns, caps, and related features may be updated by the relevant Program maintainer, Provider Operator, Ecosystem Support Entity, smart contract, multisig, governance process, or other disclosed mechanism. Updates do not alter already-executed blockchain transactions and do not modify immutable smart contracts. Continued participation after updated terms or parameters are published constitutes acceptance of the updated terms or parameters for future participation.
20. Severability
If any provision of these DIEM Terms is found invalid, unlawful, or unenforceable, the remaining provisions remain in effect to the maximum extent permitted by law. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable while preserving its intent as closely as possible.
